If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and AiYOOS Technology Inc. ("AiYOOS," "we," "us," or "our"). By continuing to use the Service, you acknowledge that you have read, understood, and agree to comply with these Terms and our Privacy Policy.

AiYOOS is an AI-powered search and information retrieval platform designed to help users find accurate, relevant information through:

Important Limitation: AiYOOS provides search results and synthesized information responses. The Service does not provide professional advice, including but not limited to legal, medical, financial, tax, investment, or other specialized professional services. Users remain solely responsible for verifying information and seeking qualified professional advice when making decisions that require expertise beyond general information retrieval. 3. Relationship to Privacy Policy

These Terms of Use govern your use of the Service, while our separate Privacy Policy governs how we collect, use, store, and protect your personal information. Both documents must be read together to understand your rights and our obligations.

4. User Accounts and Access

4.1 Account Registration

To access certain features of the Service, you may be required to create an account. When creating an account, you agree to:

5. Acceptable Use and User Responsibilities

You agree to use the Service in compliance with all applicable laws, regulations, and these Terms. Specifically, you agree that you will NOT:

5.1 Prohibited Activities

• Use the Service for any illegal purpose or in violation of any local, state, national, or international law
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• Attempt to gain unauthorized access to the Service, other user accounts, or computer systems or networks connected to the Service
• Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service or any portion thereof
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Transmit any viruses, worms, defects, Trojan horses, malware, or any items of a destructive nature
• Use the Service to harass, abuse, threaten, or intimidate any person
• Violate the intellectual property rights of AiYOOS or any third party
• Attempt to circumvent any content filtering, security measures, rate limiting, or other protective mechanisms implemented in the Service

5.2 Good Faith Use

You agree to use the Service in good faith for its intended purpose: seeking accurate, relevant information through AI-powered search and synthesis. Abusive, manipulative, or bad-faith use of the Service is prohibited and may result in suspension or termination of your access.

6. AI-Generated Content and Search Results Disclaimer

6.1 No Guarantee of Accuracy or Completeness

AiYOOS uses advanced artificial intelligence and machine learning technologies to provide search results and synthesize information from multiple sources. While we strive to deliver accurate and reliable information, you acknowledge and agree that:

• AI-generated responses may contain errors, inaccuracies, or incomplete information
• Search results are based on available sources at the time of your query and may not reflect the most current information
• The Service synthesizes information from third-party sources and cannot guarantee the accuracy, reliability, or completeness of those sources
• Citations and source attributions are provided for transparency, but AiYOOS does not endorse, verify, or take responsibility for third-party content

6.2 User Responsibility for Verification

You remain solely responsible for verifying any information obtained through the Service before relying on it for any purpose. This is especially critical for decisions involving health, safety, legal matters, financial transactions, or other significant consequences. Always consult qualified professionals when making decisions that require specialized expertise.

6.3 Third-Party Content

Search results may reference, cite, or include content from third-party websites, publications, databases, and other sources. AiYOOS does not own, control, endorse, or assume responsibility for any third-party content. Third-party content is subject to the intellectual property rights and terms of use of its respective owners. Any questions, claims, or disputes regarding third-party content should be directed to the content owner, not to AiYOOS.

7. Data Practices and Commitments

7.1 Privacy-First Approach

AiYOOS is built on a privacy-first architecture and operates under a subscription-based revenue model rather than an advertising-based model. Subject to the exceptions and qualifications described in these Terms and our Privacy Policy:

• AiYOOS does not use your search queries to train AI models. Third-party AI providers we use (currently Google Gemini 2.5 Flash) are contractually restricted from using your data for model training
• We do not track users for behavioral advertising or third-party marketing purposes
• We do not sell, rent, or lease user data to third parties for their commercial purposes
• We process user data to provide the Service, improve search quality through anonymized aggregated analysis, and ensure security and legal compliance

7.2 Data Use for Service Improvement

We use anonymized, aggregated usage data and system performance metrics to improve search accuracy, reliability, and performance. This improvement work is system optimization and quality evaluation, not AI model training. Data used for improvement has been stripped of personally identifiable information and cannot be traced back to individual users. We also use data as necessary for:

• Security monitoring, fraud detection, and abuse prevention
• Compliance with legal obligations and valid legal process
• System diagnostics, debugging, and technical troubleshooting
• Enforcing these Terms and protecting the rights and safety of AiYOOS and our users

7.3 Third-Party AI Processing

AiYOOS currently uses Google Gemini 2.5 Flash to process your search queries. Under our enterprise agreement with Google, your queries are contractually restricted from being used to train or improve Google's AI models. Google processes queries solely to generate responses. Limited retention may occur as required for security, abuse prevention, or legal compliance. For complete details, see Section 5.4 of our Privacy Policy.

8. Intellectual Property

8.1 AiYOOS Proprietary Rights

The Service, including all software, technology, algorithms, user interfaces, designs, logos, trademarks, and other intellectual property, is owned by AiYOOS Technology Inc. or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, AiYOOS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. This license does not include any rights to:

• Copy, modify, distribute, or create derivative works based on the Service
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use AiYOOS trademarks, logos, or branding without prior written consent

8.2 User-Generated Search Queries

You retain control over your search queries and content you submit to the Service. By submitting queries, you grant AiYOOS a limited, non-exclusive license to process your queries solely for the purpose of providing the Service and improving search quality through anonymized, aggregated analysis as described in our Privacy Policy and Section 7 of these Terms. AiYOOS does not claim rights to your intellectual work product, research, or discoveries made through use of the Service beyond what is necessary to provide the Service.

8.3 Third-Party Intellectual Property

Search results may reference content that is protected by third-party copyrights, trademarks, patents, or other intellectual property rights. You are responsible for respecting those rights when using information obtained through the Service. AiYOOS provides citations and source attribution for transparency but does not grant you any rights to third-party content beyond fair use or other applicable exceptions under copyright law.

9. Subscription Plans and Payment Terms

9.1 Subscription-Based Model

AiYOOS operates on a subscription-based revenue model. Our business succeeds by delivering value to our subscribers, not by monetizing user data or selling advertising.

9.2 Payment Processing

All payment processing is handled by Stripe, Inc., a third-party payment processor. AiYOOS does not collect, store, or retain your payment information, including credit card numbers, billing addresses, or bank account details. By subscribing to a paid plan, you agree to Stripe's terms of service and privacy policy. For more information about payment data handling, please refer to Section 4.3 of our Privacy Policy.

9.3 Billing and Renewals

Subscription fees are billed in advance on a recurring basis (monthly, annually, or as otherwise specified in your subscription plan). By subscribing, you authorize AiYOOS (through Stripe) to charge your designated payment method at the beginning of each billing cycle. Subscriptions automatically renew unless you cancel before the next billing date.

9.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to paid features until that date. Except where required by applicable law (including EU consumer withdrawal rights and state-specific refund requirements), AiYOOS does not provide refunds for partial billing periods.

10. Service Availability and Modifications

10.1 Service Availability

AiYOOS strives to provide reliable, uninterrupted access to the Service. However, you acknowledge and agree that:

• The Service may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control
• We do not guarantee uninterrupted, error-free, or secure access to the Service
• Service performance may vary based on network conditions, device capabilities, and other factors outside our control

10.2 Modifications to the Service

AiYOOS reserves the right to modify, suspend, or discontinue any feature, functionality, or aspect of the Service at any time, with or without notice. We will make reasonable efforts to communicate significant changes that materially affect your use of the Service, but we are not obligated to maintain any particular feature or functionality indefinitely.

We continually improve the Service based on user feedback, technological advancements, and evolving best practices in AI-powered search. While we strive to enhance the user experience, some changes may alter or remove features you currently use.

11. Limitation of Liability

11.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AIYOOS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

AiYOOS does not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. AiYOOS does not warrant the accuracy, completeness, reliability, or usefulness of any information obtained through the Service.

Nothing in these Terms limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, fraud, or statutory consumer rights that cannot be waived by contract.

11.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AIYOOS TECHNOLOGY INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on or through the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Reliance on any information, search results, or AI-generated responses obtained through the Service

IN NO EVENT SHALL AIYOOS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO AIYOOS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

These limitations apply except where prohibited by applicable law. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11.3 No Liability for Third-Party Content

AiYOOS is not responsible for the accuracy, legality, appropriateness, or quality of third-party content referenced in search results. Any reliance on such content is at your own risk. AiYOOS does not endorse, verify, or assume any liability for third-party websites, publications, or information sources.

12. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless AiYOOS Technology Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your violation of any applicable laws or regulations

13. Termination

13.1 Termination by AiYOOS

AiYOOS reserves the right to suspend or terminate your access to the Service, subject to applicable law, for reasons including but not limited to:

• Violation of these Terms or our Privacy Policy
• Fraudulent, abusive, or illegal activity
• Conduct that harms or threatens the security, integrity, or availability of the Service
• Extended periods of account inactivity (defined as no login activity for 24 consecutive months)

Where permitted by applicable law, AiYOOS may terminate accounts with or without notice. For paid subscriptions, if we terminate your account without cause (i.e., not due to your breach of these Terms), we will provide a pro-rated refund for any unused portion of your prepaid subscription period, except where prohibited by law or where termination is required by legal obligation.

13.2 Termination by You

You may stop using the Service and delete your account at any time through your account settings. For details about what happens to your data following account deletion, including the timeline for permanent data removal, please refer to our Privacy Policy, Section 7 (Data Retention) and Section 10.3 (Right to Deletion).

13.3 Effect of Termination

Upon termination of your account, your right to access and use the Service immediately ceases. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and dispute resolution provisions.

14. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to the Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles, except where application of California law would be inconsistent with mandatory consumer protection laws of your jurisdiction.

Subject to the arbitration provisions in Section 15 below, you agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the federal or state courts located in California, and you consent to the personal jurisdiction of such courts, except where such exclusive jurisdiction would deprive you of mandatory consumer protection rights under applicable law.

For users located in the European Union, this choice of law and jurisdiction does not affect your rights under applicable EU consumer protection laws, including the General Data Protection Regulation (GDPR). Our Privacy Policy describes how we comply with GDPR and other international data protection regulations. EU consumers retain all mandatory rights under EU law, and these Terms shall be interpreted consistently with those rights.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to contact AiYOOS at aiyoos.legal@gmail.com and attempt to resolve the dispute informally. We are committed to addressing user concerns in good faith.

15.2 Arbitration Agreement (U.S. Users)

If you are a user located in the United States and informal resolution is unsuccessful, you agree that, to the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (for individual consumers) or Commercial Arbitration Rules (for business users). The arbitration shall take place in California, and judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver: To the extent permitted by applicable law, you agree to bring claims only in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Exceptions: This arbitration agreement does not apply to (1) disputes involving intellectual property rights, (2) requests for injunctive relief, (3) small claims court actions within jurisdictional limits, or (4) any claims that cannot be arbitrated under applicable law.

30-Day Opt-Out Right: You have the right to opt out of this arbitration agreement by sending written notice to aiyoos.legal@gmail.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, all other provisions of these Terms remain in full force and effect, and disputes will be resolved in court as described in Section 14.

15.3 International Users

For users located outside the United States, including users in the European Union, mandatory arbitration and class action waiver provisions may not be enforceable under applicable consumer protection laws. If you are subject to consumer protection regulations that prohibit mandatory arbitration, the arbitration provisions in Section 15.2 do not apply to you, and disputes shall be resolved in accordance with the governing law and jurisdiction provisions in Section 14, subject to your local consumer protection rights.

16. Amendments to These Terms

AiYOOS reserves the right to modify these Terms at any time. When we make changes, we will:

• Update the Effective Date at the top of this document
• Provide notice of material changes via email or through a prominent notice on the Service at least 30 days before the changes take effect
• For non-material changes (such as clarifications or formatting updates), update the Terms without additional notice

Your continued use of the Service after changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Service and may delete your account before the changes take effect.

We encourage you to review these Terms periodically to stay informed about your rights and obligations.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties' original intent, or if such modification is not possible, the provision shall be severed and the remaining Terms shall remain valid.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AiYOOS Technology Inc. regarding your use of the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Service.
